Shardul Amarchand Mangaldas & Co. (SAM) advised Mubadala Investment Company (“Mubadala”) on the divestment of its entire unitholding (held through its affiliate Seventy Second Investment Company LLC) of approximately 3.35% in Cube Highways Trust, a leading Infrastructure Investment Trust (InvIT) focused on India’s roads and highways sector.
The divestment was undertaken through on-market block trades on the stock exchanges pursuant to an accelerated bookbuild process, with the units acquired by a range of institutional investors.
SAM acted as legal counsel to Mubadala on Indian law aspects of the divestment. Linklaters Singapore Pte. Ltd. advised Mubadala on certain overseas aspects of the block trade, while HSBC Securities and Capital Markets India Private Limited acted as the broker in connection with the divestment.
