Shardul Amarchand Mangaldas advises Resolution Professional in CIRP of Hotel Horizon Private Limited

Shardul Amarchand Mangaldas & Co. (SAM) acted as legal counsel to the Resolution Professional of Hotel Horizon Private Limited (“HHPL”) in connection with the corporate insolvency resolution process (“CIRP”) of HHPL and the implementation of the resolution plan approved by the Hon’ble National Company Law Tribunal, Mumbai.

The approved resolution plan was submitted by a consortium comprising Oberoi Realty Limited, Shree Naman Developers Private Limited and JM Financial Properties & Holdings Limited, and received 100% approval from the Committee of Creditors of HHPL. The resolution plan process involved a challenge mechanism process, which led to maximization of value for the creditors, leading to significant recoveries for them inspite of the prolonged litigations prior to the CIRP of HHPL (which included an earlier round of CIRP which was reversed by the Hon’ble Supreme Court).

The CIRP involved multiple litigations initiated by the suspended directors across various judicial forums, including the National Company Law Tribunal, National Company Law Appellate Tribunal, Bombay High Court, and the Supreme Court of India. Further, the SAM team assisted the Resolution Professional in seeking cooperation and disclosures by the erstwhile promoters in the background of limited available information and in obtaining the possession and custody of the hotel premises of HHPL with judicial orders from the NCLT and Bombay High Court, inspite of significant resistance from the erstwhile promoters.
