Shardul Amarchand Mangaldas advises Blackstone in Epsilon Bidco Pte Ltd’s acquisition of Essel Propack Limited (EPL)

Shardul Amarchand Mangaldas & Co (SAM & Co) has advised Blackstone Group LP in a transaction related to the acquisition by Epsilon Bidco Pte Ltd of up to 75% of the issued and outstanding shares in Essel Propack Limited (EPL) by way of a share purchase agreement and mandatory open offer. Epsilon is an affiliate of funds advised or managed by affiliates of The Blackstone Group LP.
On June 3, 2019, the Competition Commission of India (CCI) approved the transaction under Section 31(1) of the Competition Act, 2002.
The Competition Law practice group at SAM & Co acted as legal counsel to Blackstone and were involved in preparing the Form I filing to be filed with the CCI and responded to the queries raised by the CCI. SAM & Co also advised Blackstone on strategy, structuring of the transaction and non-compete clauses.
The transaction team from SAM & Co included Ms. Shweta Shroff Chopra, Partner; Ms. Gauri Chhabra, Partner; Ms. Supritha Prodaturi, Senior Associate; Ms. Kajori De, Associate and Ms. Srilatha Jayaraman, Associate.
