Shardul Amarchand Mangaldas & Co (SAM & Co) has advised in the setting up of Oriental InfraTrust, a private infrastructure investment trust set up under the SEBI (Infrastructure Investment Trusts) Regulations, 2014. Oriental InfraTrust has been set up with an initial portfolio of assets comprising five operational national highway road projects, granted under NHAI concessions. The projects, owned by Oriental Structural Engineers Private Limited and Oriental Tollways Private Limited, have been acquired by Oriental InfraTrust through a 100% share acquisition.
The General Corporate and Capital Markets practice groups at SAM & Co acted as legal counsel and advised on all aspects of the transaction including setting-up of Oriental InfraTrust under the Indian Trusts Act, 1882 and the SEBI (Infrastructure Investment Trusts) Regulations, 2014; conducting due diligence on the initial portfolio of assets; and advising on the transaction documents for the formation transaction.
