Shardul Amarchand Mangaldas advises Kwangsung Corporation Ltd. on acquisition of Full Ownership in Belite India Entities

Shardul Amarchand Mangaldas & Co. acted as legal counsel to Kwangsung Corporation Ltd. (KCL) in connection with its acquisition of the remaining stake held by Sandhar Technologies Limited in Belite India Component Private Limited (formerly Kwangsung Sandhar Technologies Private Limited) and its subsidiary, Belite India Automotive Systems Private Limited (formerly Kwangsung Sandhar Automotive Systems Private Limited).

The transaction marks the exit of Sandhar Technologies Limited from the joint venture entities and results in KCL acquiring 100% ownership of Belite India Component Private Limited. Consequently, Belite India Automotive Systems Private Limited has also become wholly owned within the KCL group structure.

The transaction was executed through the acquisition of Sandhar Technologies Limited’s entire shareholding in both entities and transition arrangements. It involved extensive closing and post-closing actions, including , regulatory filings and operational restructuring.

The transaction also involved cross-border coordination between India and South Korea, ensuring seamless execution within tight timelines.
