Hardik Thakker
Hardik Thakker is a Partner based out of Shardul Amarchand Mangaldas & Co’s Mumbai office and is part of the firm’s General Corporate, Private Equity, Venture Capital and Mergers & Acquisitions Practice Group.
Hardik is experienced in advising clients on transactions involving private equity and venture capital investments, mergers & amalgamations (domestic and cross border), joint-ventures, majority/minority acquisition transactions, corporate structuring, restructuring and reverse inbound mergers, across various sectors. Hardik is noted for his expertise in the health care/health-tech, real estate, logistics, financial services/fin-tech, NBFCs, ESG/climate, FMCG, manufacturing, education/Edu-tech and sports management sectors.
As part of his practice, Hardik regularly advises reputable private equity & venture capital funds such as Blackstone Group, Warburg Pincus, LeapFrog Investments Group, Hillhouse Investments, Prologis Group, Pravega Ventures, Motion Ventures and Z3Partners on their India investments and acquisitions.
Hardik also regularly advises LG Group (South Korea), Raymond Limited, DXN Holdings BHD, Wanbury Limited and Aptec Limited, in relation to various strategic ventures, corporate restructuring and corporate advisory work. Hardik is also a part of BW Legal World’s Top 40 Under 40 Lawyers “Elite Club of BW Legal World Future Masters 2024”.

- Advised LeapFrog Investors Group, in its proposed acquisition of an entity owning and operating multispecialty maternity , women’ and children chain of hospitals in Maharashtra, India.
- Advised LeapFrog Investments Group in their participation in multiple rounds of equity investment (aggregating up to US$ 103 million) in Redcliffe Lifetech Inc., which through its subsidiaries in India is engaged in the business of providing host of diagnostic services across India.

- Advised Warburg Pincus in its acquisition of controlling equity stake in Watertec India, a leading manufacturer of bathroom fitting and accessories in India with a global footprint. This deal was the first control acquisition in the manufacturing sector for Warburg Pincus in India and was valued at $400 million.
- Advised Blackstone Group in their 100% stake sale of the special purpose vehicle in India which housed a commercial project in Gurugram, India to a consortium high net worth individuals in India.
- Advised LeapFrog Investments Group in their participation in multiple rounds of equity investment (aggregating to US$ 100 million) in Upgrid Solutions (Battery Smart), an entity engaged in the business of battery charging, battery swapping and providing battery as a service for electric vehicles.
- Advised Prologis Inc. in their acquisition of the entire shareholding of Avigna Private Limited, an entity, inter alia, engaged in the business of leasing warehouses.
- Advised LeapFrog Investments in their Series C round of investment in HealthifyMe (Singapore) for USD 75 million.
- Advised Hillhouse Investment Management Limited in relation to their investments in, and acquisitions of, companies in India owning real estate infrastructure specific for educational institutions and acquisition of a majority stake in a company which manages, advises, and operates (directly or through other bodies in India or overseas) educational institution
- Advised Hillhouse Investment Management Limited in relation to their joint venture with the Panchshil group and Tablespace Technologies Private Limited.
- Advised Hillhouse Investment Management Limited in relation to structuring aspects, from Indian regulatory stand-point during and consequent to the acquisition of all the equity and preference shares of In.Corp Global Pte. Ltd., by Ignite Business Services Holdings Pte. Ltd. from Centrexo Bidco III Pte. Ltd.
- Advised Pravega Ventures, in their participation in the primary and secondary equity round of investment in Gyandhan, an entity which is engaged in the business of being a marketplace for student loan borrowers and lenders providing student loans for higher education purposes and through its NBFC subsidiary provides loans for various upskilling courses.
- Advised Pravega Ventures, in their participation in the primary round of investment in GrayQuest Education Finance Private Limited, an entity engaged in the business of, inter alia, facilitating the lending, financing or advancing of education loans through banks, NBFCs and financial institutions as a lending service provider, and processing credit information.
- Advised Motion Ventures, in their participation in primary and secondary round of early-stage investments in MatchLog Solutions and FreightBro Logistics, both of these entities engaged in the business of developing and providing technology services to companies in shipping and logistic sectors.
